The board under committee
The board is given part obligation to different committee. Under Chinese law and regulation, also Hong Kong listing rules, the board has formed four committees, audit committee, remuneration and evaluation committee, strategic committee, nomination committee.
 
Audit committee
Jintian medicine group has been set up auditing committee, but also follow Hong Kong listing rules on Section 3.21 of Chapter 3 and Main Board Listing Rules Section C 3 of Appendix 14, to listed scope their functions. Chen xiao take in charge of audit committee who is non-executive director. The major function of an audit committee is to assist the board of directors in providing an independent review of the effectiveness of financial reporting process, internal control and risk management system of the company, overseeing the audit process and performing other duties and responsibilities as assigned by the board.
 
Remuneration and evaluation committee
Jintian medicine group has been set up remuneration and evaluation committee, and also follow Hong Kong listing rules Appendix 14 which is corporate governance practice section B1, to listed scope their functions. Zheng shuangqing take in charge of remuneration and evaluation committee who is non-executive director. The major function of remuneration and evaluation committee is to evaluate company’s board and management’s performance, making recommendation to its salary and benefit, and also evaluate employee benefit arrangement so that making recommendation.
Nomination committee
Jintian medicine group has been set up nomination committee, and also follow Hong Kong listing rules Appendix 14 which is corporate governance practice to listed scope their functions. Chairman Jin dongtao take in charge of nomination committee who is chairman of nomination committee. The major function of nomination committee is to assist board’s candidate, criterion of choice and procedure, and also making recommendation to the board. On occasion, nomination committee can be responsible for candidate of senior executives, criterion of choice and procedures, making recommendation to the board.
